As a company director, you have rights as well as responsibilities. To protect yourself, you should do the following:

  • Take out directors and officers liability insurance
  • At every board of directors meeting, obtain written confirmation from management that government remittance payments have been made

In many cases, directors can be held liable for the company’s debts such as government debts and debts related to salary and vacation pay. Government recourse is generally exercised shortly after bankruptcy is declared or after operations cease.

PLEASE NOTE

Resigning shortly before bankruptcy will not release directors from these responsibilities since the debt was incurred before their resignation.
